Owners, of which represent more than 50 percent of the ownership in Spotlight Stock Market AB (”the Company” or ”Spotlight”), have given the following criteria and made the evaluation of the board’s composition below:
1) Experience that are central for the need of competence in the company: General legal knowledge, Securities Law, Financial control, Knowledge about the Company’s market and about the markets demands, Experience from board work, The board members independent relation to the Company, owner and board.
2) Major owners’ judgement of how the board’s composition of competence live up to the securities company’s need according to the 1st item is summarized below:
Peter Gönczi fulfill the demands above regarding knowledge in securities law. The company and the board has moreover a wide and close cooperation with the Company’s compliance officer who has an active part in the boards work with compliance.
Jakob Grinbaum and Peter Gönczi fulfill above demands regarding knowledge about financial control and governance,
Peter Gönczi, Jakob Grinbaum, Stefan Sallerfors, Anna Barkfeldt Stahre and fulfill above demands regarding the Company’s market and the market’s demands,
Stefan Sallerfors, Jakob Grinbaum, and Peter Gönczi fulfill above demands regarding experience from board work,
A majority of the board are considered independent to, the Company, owners, and therewith is the chairman, with casting vote in the board (at equal votes), independent to the Company, the board, and the owners.
In regard to the board members competence, experience and background the Company have a suitable compound. Furthermore, the compound is suitable for the Company’s function, development stage and other conditions, it is also appropriate to cater to the Company’s function. In addition, when choosing the board, it has been taken into account the demands based on the board's knowledge, commitment and diversity. According to the Company, the Board of Directors meet the requirements in Swedish code for corporate regarding independent board members. Moreover, the company shall always strive to an even gender distribution according to the code.
